Welcome to Otvori LLC. These Terms of Service ("Terms") are a legally binding agreement between you ("you," "your," or "Client") and Otvori LLC ("Company," "we," "our," or "us"), governing your access to and use of our website at formio.biz and all related services (collectively, the "Services").

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING OUR SERVICES, OR BY CLICKING TO ACCEPT WHEN PROMPTED, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY. IF YOU DO NOT AGREE, DO NOT USE OUR SERVICES.

1. DESCRIPTION OF SERVICES

Otvori LLC provides U.S. business formation and related support services to entrepreneurs and businesses worldwide. Our Services currently include:

• Preparation and submission of all required formation documents for a U.S. legal entity (LLC, C-Corporation, or other structures) in the state of your choosing
• Obtaining an Employer Identification Number (EIN) from the U.S. Internal Revenue Service (IRS) on your behalf
• Registered Agent services in the state of formation, where applicable
• Delivery of all formation documents in digital format via a secure online portal
• Instructional video guides explaining how to independently open U.S. business bank accounts and payment processing accounts
• Ongoing informational support related to the company formation process

We do not provide banking services directly. All video materials and informational content are provided for educational purposes only and do not constitute legal, tax, or financial advice.

2. ELIGIBILITY

You must be at least 18 years of age to use our Services. By using our Services, you represent that you are of legal age to form a binding contract in your jurisdiction.

Due to U.S. government regulations and international sanctions, we are UNABLE to provide Services to individuals who are citizens of, or residents of, the following countries:

• Belarus, Burundi, Central African Republic, Cuba, Democratic Republic of the Congo, Iran, Iraq, Lebanon, Libya, Nicaragua, North Korea, Somalia, South Sudan, Sudan, Syria, Ukraine (Crimea region), Venezuela, Yemen, and Zimbabwe.

These restrictions are subject to change without notice. If your country is listed above, your order will be cancelled and a refund will be issued in accordance with our Refund Policy.

3. ACCOUNTS AND REGISTRATION

3.1 Account Creation

To access certain features of our Services, you must create an account by providing accurate, current, and complete information as requested. You agree to maintain and promptly update this information. You must be at least 18 years old to create an account.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account at support@formio.biz. We are not liable for any loss or damage arising from your failure to maintain account security.

3.3 Account Termination by You

You may delete your account at any time by contacting us at support@formio.biz. We reserve the right to suspend or terminate your account at our sole discretion for any violation of these Terms, without prior notice or liability.

4. THE COMPANY FORMATION PROCESS

4.1 Timeline Estimates

We provide estimated timelines for the company formation process. These are estimates only and are not guarantees. The actual timeline may be longer due to factors outside our control, including processing delays at state agencies, the IRS, banking partners, or other third parties. We will use commercially reasonable efforts to keep you informed of significant delays.

4.2 State of Formation and Company Name

Once your formation documents have been submitted to a state or government agency for filing, the selected state of formation and the registered company name cannot be changed. Please review all details carefully before confirming your order.

4.3 Document Delivery

All formation documents and related materials will be provided exclusively in digital format, uploaded to a secure shared folder or online portal. We do not provide physical copies of documents.

4.4 Your Responsibilities

You are responsible for providing accurate, complete, and truthful information required for your company formation. We rely on the information you submit and do not independently verify its accuracy. You are solely responsible for any consequences resulting from inaccurate or incomplete information provided to us.

4.5 EIN and IRS Filings

We will apply for an EIN on your behalf as part of your service package. The IRS processing timeline is outside our control. We are not responsible for delays or rejections caused by the IRS and we may use authorized third-party service providers to assist with IRS filings.

5. BANKING GUIDANCE AND VIDEO MATERIALS

As part of our Services, we provide instructional video guides explaining how to independently open U.S. business bank accounts and establish accounts with payment processing institutions. These materials are provided for informational and educational purposes only.

IMPORTANT: We are not a bank, financial institution, or licensed financial advisor. We do not open bank accounts on your behalf and we do not guarantee that any bank or payment institution will approve your application. Approval decisions are made solely by the relevant financial institution and are entirely outside our control. Our video guides do not constitute financial, legal, or tax advice.

By using our video materials, you acknowledge that you are solely responsible for your interactions with any financial institution and that we bear no liability for the outcome of those interactions.

6. FEES AND PAYMENT

6.1 Pricing

All fees applicable to our Services are set forth on our website at formio.biz or as otherwise agreed upon in writing. We reserve the right to modify our pricing at any time, with notice to you.

6.2 Payment Terms

All fees are quoted and charged in U.S. Dollars. Payment is due in full at the time of purchase unless otherwise agreed in writing. We use third-party payment processors. By providing your payment information, you authorize us to charge all applicable fees. All sales are final unless otherwise stated in our Refund Policy.

6.3 Government and Third-Party Fees

State filing fees, IRS fees, registered agent fees, and any other government or third-party fees are not included in our service fees unless explicitly stated otherwise. You are solely responsible for all such fees and any additional costs associated with operating your U.S. entity.

6.4 Refunds

All payments are subject to our Refund Policy, which is incorporated by reference into these Terms. Please review our Refund Policy at formio.biz/refund-policy carefully before purchasing. Once a filing has been submitted to a state or government agency, fees are generally non-refundable.

7. THIRD-PARTY SERVICES AND PARTNERS

Our Services may involve third-party service providers, including registered agent companies, IRS filing intermediaries, document preparation firms, and banking partners. These third parties operate independently and are governed by their own terms and conditions.

We do not control, endorse, or assume responsibility for any third-party services. Your use of third-party services is at your own risk. We will not be liable for any acts, omissions, errors, or failures of any third-party provider.

8. INTELLECTUAL PROPERTY

8.1 Our Content

All content on formio.biz, including text, graphics, logos, images, video materials, guides, and software, is the exclusive property of Otvori LLC or its licensors, protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our content solely for your own personal or internal business purposes.

8.2 Restrictions

You may not copy, reproduce, distribute, publicly display, modify, sell, or otherwise exploit any of our content without our prior written consent. You may not use our content to build a similar or competing service.

8.3 Your Content

You retain ownership of all information and materials you submit to us. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and store your content solely for the purpose of providing the Services. We handle your content in accordance with our Privacy Policy.

8.4 Feedback

Any feedback or suggestions you provide regarding our Services will become the exclusive property of Otvori LLC. You irrevocably assign all rights in such feedback to us, and we may use it for any purpose without compensation.

9. DISCLAIMERS

9.1 No Legal, Tax, or Financial Advice

Otvori LLC is not a law firm, accounting firm, or licensed financial institution. Nothing in our Services, website, communications, or video materials constitutes legal, tax, financial, or investment advice. All information is provided for general informational purposes only. Consult a qualified attorney, licensed CPA, or financial advisor for professional advice.

9.2 As-Is Services

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OTVORI LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.

9.3 No Guarantee of Outcomes

We do not guarantee any specific outcome from our Services, including successful company formation within a specific timeframe, IRS approval of your EIN, or approval of any bank account application.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OTVORI LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO OTVORI LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

11. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Otvori LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) inaccurate or incomplete information you provide; or (e) your violation of any third-party rights.

12. PRIVACY POLICY

Your use of the Services is governed by our Privacy Policy, available at formio.biz/privacy-policy, incorporated by reference into these Terms. By using the Services, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

13. TERM AND TERMINATION

These Terms remain in effect for as long as you use our Services. We may suspend or terminate your access at any time, for any reason, with or without notice. Upon termination, your right to use the Services will immediately cease.

Sections 8, 9, 10, 11, 14, and 15 shall survive any termination of these Terms.

14. DISPUTE RESOLUTION AND ARBITRATION

14.1 Informal Resolution

Before initiating any formal dispute, you agree to first contact us at support@formio.biz and attempt to resolve the matter informally. We will make reasonable efforts to resolve disputes within thirty (30) days.

14.2 Binding Arbitration

If the dispute cannot be resolved informally, any and all disputes arising out of or relating to these Terms or the Services (excluding claims for injunctive or other equitable relief) shall be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class Action Waiver

YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION.

14.4 Jury Trial Waiver

BY AGREEING TO ARBITRATION, YOU WAIVE YOUR RIGHT TO A JURY TRIAL.

14.5 Governing Law and Jurisdiction

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. For any disputes not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware.

14.6 Small Claims

Either party may bring an individual action in a small claims court for disputes within the scope of that court's jurisdiction.

15. GENERAL PROVISIONS

15.1 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and us regarding the Services and supersede all prior agreements and representations.

15.2 Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the 'Last Updated' date. Continued use of the Services after changes constitutes acceptance of the revised Terms.

15.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

15.4 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

15.5 Assignment

You may not assign or transfer these Terms without our prior written consent. We may freely assign these Terms.

15.6 Force Majeure

We will not be liable for any delay or failure to perform our obligations resulting from circumstances beyond our reasonable control, including acts of God, government actions, pandemics, or third-party service failures.

15.7 Electronic Communications

By using our Services, you consent to receiving electronic communications from us and agree that all notices provided electronically satisfy any legal writing requirement.

15.8 Export Compliance

You agree not to export, re-export, or transfer any U.S. technical data acquired from us in violation of United States export laws or regulations.
