Refund Policy

Otvori LLC is committed to delivering high-quality U.S. company formation services. We understand that circumstances can change, and we have designed this Refund Policy to be clear, fair, and transparent. Please read this policy carefully before placing your order.

This Refund Policy is incorporated into and forms part of our Terms of Service. By purchasing our Services, you acknowledge that you have read, understood, and agreed to this policy.

1. GENERAL PRINCIPLE

Our service fees cover professional time, administrative work, and coordination with government agencies and third-party providers that begins immediately upon your order. For this reason, refunds are time-sensitive and strictly governed by the stages of your order.

THE 7-DAY WINDOW IS AN ABSOLUTE DEADLINE. Refund requests submitted after seven (7) calendar days from the date of purchase will not be considered under any circumstances, regardless of the status of your order.

2. REFUND SCHEDULE BY STAGE

Your eligibility for a refund depends on the stage your order has reached at the time you submit your refund request. The following table summarizes your eligibility:

3. NON-REFUNDABLE FEES

The following fees are NON-REFUNDABLE under all circumstances, including within the 7-day window:

3.1 Government and State Filing Fees

State filing fees paid to the relevant Secretary of State or other government authority on your behalf are non-refundable once paid. These fees are paid directly to government agencies and cannot be recovered by Otvori LLC.

IMPORTANT: If you change your mind after your state filing fee has been paid - even within the 7-day refund window - the state filing fee will be deducted from any refund amount issued to you. You are solely responsible for this cost.

3.2 IRS and EIN Fees

Any fees associated with the preparation and submission of IRS Form SS-4 (EIN application) are non-refundable once the application has been submitted to the IRS.

3.3 Registered Agent Fees

Registered agent service fees are non-refundable once the registered agent has been assigned and activated for your company in the relevant state.

3.4 Third-Party Service Fees

Fees paid to third-party providers (including but not limited to document couriers, notarization services, or banking referral partners) on your behalf are non-refundable once those services have been initiated.

3.5 Change-of-Mind After Filing

Once your company has been officially registered with a state, the company name and state of formation are permanent and cannot be changed or reversed. No refund will be issued for change-of-mind after state registration is complete, regardless of the timeframe.

4. HOW TO REQUEST A REFUND

To submit a refund request, you must:

• Submit your request within seven (7) calendar days of your purchase date
• Contact us by email at support@formio.biz with the subject line: "Refund Request - [Your Order Number]"
• Include in your email: your full name, order number, date of purchase, and the reason for your refund request

We will acknowledge your request within 2 business days and notify you of our decision within 5 business days of receipt. If approved, refunds will be processed to your original payment method within 7–10 business days, depending on your bank or card issuer.

5. HOW REFUND AMOUNTS ARE CALCULATED

If you are eligible for a refund, the amount will be calculated as follows:

Example: If you paid a total of $500 (including a $150 state filing fee), and you request a refund after the state filing fee has been paid but before your documents were submitted to the state, your refund would be $350 ($500 minus the $150 non-refundable state filing fee).

Otvori LLC will provide you with an itemized breakdown of any deductions applied to your refund at the time of processing.

6. EXCEPTIONS AND SPECIAL CIRCUMSTANCES

6.1 Restricted Country Orders

If your order is cancelled because you reside in a country where Otvori LLC cannot provide Services due to U.S. government sanctions or regulatory restrictions, a full refund of our service fee will be issued, provided no filings or submissions have been made on your behalf. Government, state, and third-party fees already paid remain non-refundable.

6.2 Duplicate Orders

If you accidentally placed a duplicate order for the same company, please contact us immediately. We will review duplicate order refund requests on a case-by-case basis, subject to the 7-day window and deduction of any fees already incurred.

6.3 Service Failure by Otvori LLC

In the rare event that Otvori LLC is unable to fulfill your order due to a failure on our part (not attributable to third-party agencies, government processing times, or information you provided), we will work with you to resolve the issue or issue an appropriate refund at our discretion.

6.4 No Refunds for Third-Party Dissatisfaction

We are not responsible for and cannot issue refunds due to dissatisfaction with third-party services, including but not limited to state government processing times, IRS processing delays, registered agent services, or banking partner decisions. These parties operate independently of Otvori LLC.

7. CHARGEBACKS AND PAYMENT DISPUTES

We encourage you to contact us directly before initiating a chargeback or payment dispute with your bank or credit card provider. Initiating a chargeback without first contacting us may result in:

• Immediate suspension or termination of your account and access to our Services
• Cancellation of any pending formation work
• Reporting of the dispute to credit agencies where permitted by law

We are committed to resolving legitimate concerns quickly and fairly. Please reach out to us at support@formio.biz before escalating any payment dispute.

8. SUBSCRIPTION SERVICES

If Otvori LLC offers any ongoing subscription-based services (such as registered agent renewals or compliance monitoring), the following terms apply:

• Subscription fees are billed in advance and are non-refundable for the current billing period
• You may cancel your subscription at any time; cancellation takes effect at the end of the current paid period
• No partial-period refunds will be issued for unused time within a billing cycle

9. AMENDMENTS TO THIS POLICY

Otvori LLC reserves the right to modify this Refund Policy at any time. Changes will be posted on our website with an updated "Last Updated" date. Your continued use of our Services after any changes constitutes acceptance of the revised policy. For orders already placed, the Refund Policy in effect at the time of purchase will apply.
